Position: Assistant General Counsel – US Insurance Law – Life Insurance & Stable Value

Job Location: New York, NY Alternate Job Location: Bridgewater, NJ

Role Value Proposition:

This attorney will primarily provide legal advice to certain of MetLife’s U.S. retirement and income businesses (primarily corporate and bank owned life insurance, post-retirement benefits and stable value). The attorney will focus on legal questions and issues related to regulation of group and institutional insurance and advise on legal issues relating to product development and design, marketing, sales, and administration.

Key Responsibilities:

  • Provide practical legal risk mitigation strategies in connection with the issuance and administration of corporate and bank owned life insurance products, post-retirement benefit products and stable value across multiple jurisdictions in the U.S.
  • Draft or review a variety of documents, including regulatory filings (state and federal filings), policyholder notices, requests for proposals, non-disclosure agreements, customer communications and marketing materials.
  • Draft or review separate account plans of operations, investment management agreements, private placement memoranda and offering documents
  • Draft and negotiate customer, third-party administrator, and vendor agreements.
  • Conduct or coordinate legal research regarding U.S. corporate and bank owned life insurance products, post-retirement benefits and stable value.
  • Understand insurance agency licensing requirements and have basic knowledge of FINRA licensing requirements.
  • Have fundamental understanding of the Securities Act of 1933, the Investment Company Act of 1940 and the Investment Advisers Act of 1940.
  • Assess and communicate legal and regulatory risks associated with U.S. insurance and counsel the business on ways to effectively mitigate such risks.
  • Coordinate with the business, government relations, communications, and other cross-functional teams on multi-disciplinary issues.

Essential Business Experience and Technical Skills:


  • Law degree (J.D. or equivalent) and bar admission required with a strong record of in-house success
  • 8+ years of relevant experience either with a law firm, insurance company or other financial services institution.
  • Ability to handle complex legal matters with minimal oversight while escalating significant issues in a timely fashion
  • Sound judgement, a high degree of professionalism, and an ability to prioritize and adhere to deadlines
  • Communicates clearly, concisely, and persuasively with a variety of internal stakeholders (corporate business partners, team members, functional colleagues, etc.), works collaboratively and builds effective partnerships.


  • Prior experience advising financial services companies.
  • Previous experience working with investment products and federal regulatory filings.

The wage range for applicants for this position is $151,000 to $210,000. This role is also eligible for annual short-term incentive compensation.
